Affiliate Program Terms
Version 1.0 — Effective February 2026
1. Program Overview
The OmniCart AI Affiliate Program ("Program") allows approved affiliates to earn commissions by referring new paying customers to OmniCart AI. By participating in this Program, you agree to these terms and conditions.
2. Commission Structure
- Rate: 30% recurring commission on all subscription payments
- Duration: 12 months from the referred customer's first payment
- Attribution: Last-click model with a 30-day cookie window
- Calculation: Commission is based on the actual amount charged by Stripe, after any discounts or prorations
3. Payment Terms
- Minimum payout: $50.00 USD
- Payout schedule: Monthly, on the 15th
- Clawback period: 30 days — commissions from refunded payments within 30 days are clawed back
- Payment methods: PayPal, bank transfer, or Stripe Connect
- Tax responsibility: Affiliates are responsible for their own tax obligations. US-based affiliates earning $600+ will receive a 1099 form.
4. Eligibility
To participate, you must:
- Be at least 18 years old
- Have a valid OmniCart AI account
- Submit an application and be approved by our team
- Comply with all applicable laws and regulations
5. Prohibited Activities
The following activities are strictly prohibited and may result in immediate termination:
- Self-referral: Using your own referral link to sign up or purchase for yourself
- Cookie stuffing: Forcing cookie drops without genuine user intent
- Paid search on branded terms: Bidding on "OmniCart" or related trademarks in search ads
- Misleading claims: Making false or exaggerated claims about OmniCart AI
- Spam: Unsolicited bulk email, social media spam, or other aggressive tactics
- Incentivized signups: Paying or incentivizing users to sign up through your link
- Trademark misuse: Using OmniCart logos or branding without written permission
6. Fraud Prevention
We employ automated fraud detection systems that monitor click patterns, conversion rates, refund patterns, and other signals. Suspicious activity may result in:
- Commission holds pending review
- Account suspension during investigation
- Permanent termination for confirmed fraud
- Forfeiture of all pending commissions
7. Termination
Either party may terminate the affiliate relationship at any time. Upon termination:
- Approved, unpaid commissions will be paid out in the next cycle (unless terminated for fraud)
- Pending commissions may be voided at our discretion if terminated for cause
- You must remove all OmniCart referral links and branding materials
- The 30-day cookie window will no longer generate new referrals
8. Modifications
We reserve the right to modify these terms at any time. Material changes will be communicated via email at least 30 days in advance. Continued participation after changes take effect constitutes acceptance.
9. Limitation of Liability
OmniCart AI's total liability under this Program shall not exceed the total commissions paid to the affiliate in the 12 months preceding any claim. We are not liable for lost profits, indirect, or consequential damages.
